WellCare and Universal American Announce Early Termination of Hart-Scott-Rodino Waiting Period for WellCare’s Proposed Acquisition of Universal American

TAMPA, Fla. & WHITE PLAINS, N.Y.--(BUSINESS WIRE)-- WellCare Health Plans, Inc. (NYSE:WCG) and Universal American Corp. (NYSE:UAM) announced today the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act (HSR Act) for WellCare’s proposed acquisition of Universal American Corp.

Termination of the HSR Act waiting period satisfies one of the conditions to the closing of the transaction. The transaction, which is expected to close in the second quarter of 2017, remains subject to other closing conditions, including approval by Universal American’s stockholders and other customary closing conditions, including regulatory approvals.
