Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 27, 2020, the Board of Directors of Home BancShares, Inc. (the “Company”), upon the recommendation of the Company’s Compensation Committee, approved an increase in the annual base salary for Tracy M. French, Chairman, Chief Executive Officer and President of Centennial Bank, to $559,000. The salary increase is effective as of January 1, 2020. As previously disclosed, Mr. French was named Chairman of Centennial Bank effective November 7, 2019, in addition to his existing role as Chief Executive Officer and President of the bank.
