Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed on Form 8-K filed on November 4, 2019, Black Hills Corporation (the “Company”) appointed Kathleen S. McAllister and Tony A. Jensen to the Board of Directors. At that time, the Board of Directors had not determined committee assignments. This Form 8-K/A amends the Form 8-K filed on November 4, 2019, by amending and restating Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers to include the committee assignments for Ms. McAllister and Mr. Jensen.

Kathleen S. McAllister will serve on the Audit Committee and Tony A. Jensen will serve on the Compensation Committee.
