| Horizon Bancorporation, Inc. was incorporated for the purpose of becoming a bank holding company for Horizon Bank, a commercial bank chartered under the laws of Florida. The Company's sole subsidiary, Horizon Bank (the "Bank"), conducts a commercial banking business in its primary service area of Bradenton, Florida and the surrounding area of Manatee County. The Bank offers a full range of commercial banking services to individual, professional and business customers in its primary service area. These services include personal and business checking accounts and savings and other time certificates of deposit. The transaction accounts and time certificates are at rates competitive with those offered in the primary service area. Customer deposits with the Bank are insured to the maximum extent provided by law through the FDIC. The Bank issues credit cards and acts as a merchant depository for cardholder drafts under both Visa and MasterCard. It offers night depository and bank-by-mail services and sells travelers checks issued by an independent entity and cashiers checks. The Bank does not offer trust and fiduciary services presently and will rely on trust and fiduciary services offered by correspondent banks until it determines that it is profitable to offer these services directly.
