David J. Nasca
President & Chief Executive Officer
Mr. Nasca has been a director of the Company since September 1, 2006. Mr. Nasca also serves as the President and Chief Executive Officer of the Company and as President and Chief Executive Officer of the Bank. He has held the position of President of the Company and the Bank since December 1, 2006, and Chief Executive Officer of the Company and the Bank since April 1, 2007. Mr. Nasca served as Chief Operating Officer of LifeStage, LLC, a health care services startup company, from October 2005 to August 2006. From June 2004 to July 2005, Mr. Nasca served as Executive Vice President of Strategic Initiatives of First Niagara Financial Group. Mr. Nasca held the position of Executive Vice President, Consumer Banking Group, Central New York Regional Executive of First Niagara Financial Group from June 2002 through June 2004.
Robert G. Miller Jr.
Secretary
Mr. Miller has been a director of the Company since 2001. Mr. Miller also serves as the Secretary of the Company and has held the position since April 2010. He has served as the President of The Evans Agency, Inc., an indirect wholly-owned subsidiary of the Company, since 2000 and as Executive Vice President of the Bank since December 2009. He also has served as the President of Evans Financial Services, Inc., a wholly-owned subsidiary of the Bank, since May 2002.
John B. Connerton
Treasurer
Mr. Connerton was appointed Treasurer of the Company and Chief Financial Officer of the Bank on November 30, 2015. Prior to his appointment as Treasurer, he served as Principal Accounting Officer of the Company between 2002 and 2010 and again between 2013 and 2015. He has also served as Senior Vice President and Treasurer of the Bank since 2010. Prior to joining the Company, Mr. Connerton was a Senior Auditor specializing in auditing and consulting for banking, healthcare and manufacturing clients at Deloitte & Touche LLP.

John R. O'Brien
Chairman
Mr. O’Brien has been a director of the Company since 2003 and has served as Chairman of the Board since April 2012. He previously served as Vice Chairman of the Board from 2008 - 2012. Prior to his retirement in June 2004, Mr. O’Brien served as the Executive Director of Financial Administration for the Roman Catholic Diocese of Buffalo, New York. Prior to his role with the Diocese of Buffalo, Mr. O’Brien was an audit partner at KPMG LLP, a national accounting and consulting firm.
Lee C. Wortham
Vice Chairman
Mr. Wortham has been a director of the Company since January 1, 2011 and has served as Vice Chairman since April 2012. He has been a Partner in Barrantys, LLC, a consultant and service provider to wealthy families and family offices, since 2007. Prior to his role with Barrantys, Mr. Wortham was an Executive Vice President of First Niagara Financial Group from 2005 to 2007, where his responsibilities included wealth management, risk management, and corporate marketing. From 1999 to 2005, Mr. Wortham was the Executive Vice President of Global Private Client Services, Product Development, and Central Operations for The Bank of New York. Mr. Wortham held several positions at Chase Manhattan Bank and Chemical Bank (currently JP Morgan Chase & Co.) from 1985 to 1999, including leading the Global Private Bank's activities in Europe, the Middle East, and Africa while based in London, England. He started his career at M&T Bank in retail banking from 1980 to 1985.
Michael A. Battle
Mr. Battle has been a director of the Company since July 15, 2016. He is a partner at Barnes & Thornburg LLP in Washington, DC and a member of the firm's litigation department. His primary practice focuses on commercial and civil litigation, white collar criminal matters, and appeals. He has held that position since 2010. Mr. Battle was a partner at Fulbright & Jaworski LLP in Washington DC from 2007 to 2010, focusing on cases involving the Foreign Corrupt Practices Act, Health Care Fraud, False Claims Act, and Disadvantaged Business regulator violations. From 2005 to 2007, Mr. Battle served as Director of the Executive Office for United States Attorneys in Washington, DC, providing administrative oversight of all 93 United States Attorneys and served as a liaison between the United States Attorneys and the Justice Department and other federal agencies. From 2002 to 2005, Mr. Battle served as a United States Attorney in the United States Attorney's Office, Western District of New York, Buffalo, NY, where his responsibilities included chief federal law enforcement officer for 17 counties of Western New York, and participated in the Attorney General's Subcommittee on Civil Rights, U.S. Sentencing Guidelines, and White Collar Fraud, and also assisted in creating a U.S. task force to prosecute fraud in the aftermath of Hurricane Katrina. Mr. Battle served as a Judge in Erie County Family Court, Buffalo, NY, from 1996 to 2002, being appointed by Governor George Pataki, and subsequently elected to the position, providing rulings in thousands of family-law and matrimonial cases. From 1995 to 1996, Mr. Battle served as Attorney in Charge for the New York State Attorney's Office, Buffalo Regional Office, Buffalo, NY. He served as Assistant Federal Defender in the Federal Defender's Office, Western New York, Buffalo NY from 1992 to 1995; as Assistant United States Attorney in the Unites States Attorney's Office, Western District of New York, Buffalo NY from 1985 to 1992, and as an attorney with the Legal Aid Society of New York, Civil Division, New York, NY from 1981 to 1985. Mr. Battle is admitted to practice law in the State of New York, District of Columbia, United States Supreme Court, the US Court of Appeals for the Second Circuit, and the United States District Courts for Western and Southern New York.
James E. Biddle Jr.
Mr. Biddle has been a director of the Company since 2001. He serves as the Chairman and Treasurer of Mader Construction Co., Inc., and has held that position since 2001. Mr. Biddle serves as the chief Financial Officer of Bullis Investors, LLC, and has held that position since 2007. In addition, Mr. Biddle serves as the Vice President and Treasurer of Arric Corp., an environmental remediation company.
Marsha S. Henderson
Ms. Henderson has been a director of the Company since January 1, 2011. From 2005 to 2011, Ms. Henderson served as the Vice president for External Affairs at the University at Buffalo. She was the President of the Western New York District of KeyBank, N.A. from 1998 to 2005. From 1990 to 1998, Ms. Henderson held the position of Senior Vice President and Market Manager, Private Clients Group, of Fleet Boston. Ms. Henderson worked at M&T Bank from 1971 to 1990, with much of her time spent in commercial lending and operations, including as Vice President of the WNY Commercial Group from 1985 to 1990.

David R. Pfalzgraf Jr.
Mr. Pfalzgraf has been a director of the Company since May 2014. He has been a Managing Partner of Rupp, Baase, Pfalzgraf, Cunningham & Coppola LLC, a law firm specializing in private business enterprises ranging from closely-held family businesses to multi-national corporations, since April 2000. Mr. Pfalzgraf leads the firm's corporate practice group, working primarily with private business enterprises ranging from closely held family businesses to multi-national corporations. He assists clients with all corporate needs including business formations, restructurings, mergers and acquisitions, financing and investment, development, labor and employment issues, and commercial transactions.
Michael J. Rogers
Mr. Rogers is a certified public accountant in New York State and a managing member of the real estate development company, Oakgrove Development, LLC, a position he has held since 2008. Mr. Rogers was the Executive Vice President and Chief Financial Officer of Great Lakes Bancorp, the parent company of Greater Buffalo Savings Bank, from 2006 to 2007. From 2004 to 2005, Mr. Rogers worked as an independent consultant, principally on Sarbanes-Oxley initiatives and business rationalization reviews. Mr. Rogers worked at KPMG LLP from 1984 to 2004, including his service as an audit partner from 1995 to 2004. In his role as an auditor at KPMG LLP, a leading accounting firm, Mr. Rogers worked on several engagements for financial institutions, particularly banks.
Nora B. Sullivan
Ms. Sullivan is the founder and President of Sullivan Capital Partners, Inc., a financial services company that since 2004, has been providing investment banking, merger and acquisition services, and consulting to businesses seeking to grow through acquisitions or reposition through divestures. She served as Director for The Citigroup Private Bank from 2000–2004, where she provided wealth management services for high net worth individuals and specialized in private equity transactions for wealth preservation, growth, and wealth transfer, including financial analysis and transaction execution (primarily acquisitions). From 1995–2000, Ms. Sullivan held the position of Executive Vice President of Rand Capital Corporation, where she was responsible for managing the portfolio of a publicly-held venture capital company and identifying, valuing, and negotiating new investment opportunities. Ms. Sullivan’s experience also includes financial and economic consulting, financial analysis and serving as General Counsel for a publicly traded company.
Thomas H. Waring Jr.
Mr. Waring has been a director of the Company since 1998. He has owned and managed Waring Financial Group, a financial planning, insurance and financial services and sales firm, since 1996. He has also been the managing member of Family & Business Directions, LLC, a fee-based consulting business serving family-held and closely-held business owners, their families, and key executives, since 2010. Additionally, Mr. Waring is the majority member of GCW Capital, LLC, a fee only independent registered investment advisory entity formed in August 2014 and registered with the SEC. In 2015, Mr. Waring became a member of Mallard Advisory Group, LLC. The firm consists of principals with diverse backgrounds and expertise in serving businesses facing ownership and other major transitions.
