Mr. Oddleifson has served as President and Chief Executive Officer of Independent Bank Corp. since 2003. He is also the Chief Executive Officer of Rockland Trust. From 1998 to 2002 Mr. Oddleifson was President of First Union Home Equity Bank, a national banking subsidiary of First Union Corporation in Charlotte, North Carolina. Until its acquisition by First Union, Mr. Oddleifson was the Executive Vice President, responsible for Consumer Banking, for Signet Bank in Richmond, Virginia. He has also worked as a management consultant for Booz, Allen and Hamilton in Atlanta, Georgia. Mr. Oddleifson has served as a director of Rockland Trust and the Company since 2003.
GERARD F. NADEAU
President of Rockland Trust Company
Mr. Nadeau was named the President of Rockland Trust on March 16, 2017. Mr. Nadeau previously served as the Executive Vice President, Commercial Lending of Rockland Trust since July 1, 2007. Mr. Nadeau has worked at Rockland Trust in a variety of capacities since 1984, serving as a Senior Vice President of Commercial Lending from 1992 until 2007.
ROBERT D. COZZONE
Executive Vice President and Chief Operating Officer
Robert Cozzone was appointed Executive Vice President and Chief Operating Officer in 2019 for Rockland Trust and its parent bank holding company, Independent Bank Corp. As such, he is responsible for consumer and business banking, which includes the retail bank, residential mortgage, consumer lending, and credit card and business banking sales. In addition, he continues to provide oversight of the finance division. Previously he was Chief Financial Officer of Independent Bank Corp., to which he was appointed in 2013. From 2013 to 2015, concurrent with his Chief Financial Officer role, Mr. Cozzone was also Treasurer of Independent Bank Corp. Prior to serving as the Company’s CFO, he was Treasurer of both Independent Bank Corp. and Rockland Trust from April 2008 to September 2013. He became Senior Vice President and Treasurer of Rockland Trust in 2002. Mr. Cozzone joined Rockland Trust in October 1998 as a banking officer. Prior to joining the Company, he held financial positions at Bank Boston.

Mr. Cozzone is on the Massachusetts Business Roundtable Board of Directors and is a member of the Thompson Island Outward Bound Education Center Advisory Board and the Plymouth Philharmonic Orchestra Board of Directors. He is a graduate of Bridgewater State University and received a Master of Science from Boston College. He lives in Plymouth, Massachusetts with his wife and children and is also a part-time resident of Edgartown on Martha’s Vineyard.
MARIA S. HARRIS
Senior Vice President and Director of Human Resources
Ms. Maria S. Harris has been Director of Human Resources for Rockland Trust since May 1, 2017 and has been its Vice President since June 8, 2017. Ms. Harris joined Rockland Trust’s executive leadership team. She has 22 years of human resources experience and worked for scudder investments. Rockland Trust has classified her as an Executive Officer as of the date of this proxy statement. She has worked at Rockland Trust in a variety of capacities since 2003, served as Vice President, Director of Employment and Colleague Relations with responsibility for recruitment, employee relations, performance management, policy development, diversity and inclusion, compensation analysis and Rockland Trust’s wellness initiative. Ms. Harris was recently appointed to the Board of Directors of Morgan Memorial Goodwill Industries in Boston, Massachusetts. Ms. Harris earned the distinction of Senior Professional in Human Resources designation and a Bachelors of Arts from Bridgewater State University.
BARRY H. JENSEN
Executive Vice President and Chief Technology and Operations Officer
Barry Jensen is Executive Vice President and Chief Technology and Operations Officer for Rockland Trust and its holding company, Independent Bank Corp. In this role he oversees the Company’s banking and digital operations, information technology, information security, data governance and quality, business analytics, and project management. Barry has worked at Rockland Trust for over 20 years and previously served as Controller and Principal Accounting Officer of the Bank and the holding company. Prior to joining Rockland Trust, he worked as a Senior Financial Analyst at Bay Bank. A graduate of Salem State University, Barry holds a Master's degree in Business Administration from Bentley University.
JENNIFER MARINO
Senior Vice President and Chief Marketing and Customer Officer
Jennifer Marino is the Chief Marketing and Customer Officer at Rockland Trust Company. She leads the Company’s branding, communications, strategic planning, and customer experience efforts, including the Bank’s Customer Information Center.

With 20 years of extensive brand marketing experience, Ms. Marino joined Rockland Trust in 2015 from Liberty Mutual Insurance where she had been Vice President and Senior Manager most recently focusing on customer advocacy. Under her leadership, the Bank has leveraged and integrated cutting-edge technology to enhance the customer experience, including launching a new online platform that opens accounts in less than five minutes and implementing SalesForce throughout the Bank’s business lines. She has amplified the customer experience by creating Rockland Connects, an online community to engage customers and provide insight, and instituting customer journey mapping across the Bank. In addition, her creative use of analytics was recognized by two Gramercy Institute Marketing Awards for an innovative approach utilizing agent based-modelling to optimize media channel delivery for maximum impact.

Ms. Marino is a member of the Wonderfund Board of Directors and is Chairperson for the Marketing Committee. She also serves on the board for the Rockland Trust Charitable Foundation. Additionally, she is a member of the Deposits and Payments Committee for the Consumer Bankers Association and sits on the governing body for the Boston Chief Marketing Officer Executive Summit. She earned a Bachelor of Science degree from Providence College and resides in North Easton.
JONATHAN NELSON
Senior Vice President and Treasurer of Rockland Trust Company
Mr. Nelson has served as Senior Vice President and Treasurer of Rockland Trust since April 2015. Prior thereto, Mr. Nelson served as the Vice President and Asset/Liability and ALCO Manager for six years. Mr. Nelson joined the bank in March of 2007 as an Assistance Vice President and has previously held financial positions at Skowhegan Savings Bank and Cape Cod Bank & Trust. Jonathan earned a Masters of Business Administration degree from Hawaii Pacific University and a B.S. in Finance from Bridgewater State University.
KATHRYN T. ROBSON
Senior Vice President and Chief Internal Auditor of Independent Bank Corp. and Rockland Trust Company
Ms. Robson has served as Chief Internal Auditor of the Company and Rockland Trust since February 2008. Prior thereto, Ms. Robson served as the Director of Internal Audit from December 2003 to January 2008. Ms. Robson is a Certified Internal Auditor and Certified Information Systems Auditor.
MARK J. RUGGIERO
Chief Financial Officer and Chief Accounting Officer
Mark Ruggiero was appointed Chief Financial Officer in 2019 for Rockland Trust and its holding company, Independent Bank Corp. With 20 years of experience in financial services, Mark was previously the Bank’s Principal accounting Officer and Controller. Prior to joining Rockland Trust, he was a manager at Vitale, Caturano & Co.

A Certified Public Accountant, Mark is a member of the Massachusetts Society of CPAs, the American Institute of CPAs and the American Bankers Association Accounting Advisory Committee. He is also a trustee of the Massachusetts Taxpayers Foundation. Mark holds a Bachelor of Science in Accountancy from Bentley University.
EDWARD H. SEKSAY
Executive Vice President, Chief Risk Officer, and General Counsel
Ed Seksay is the Executive Vice President, Chief Risk Officer, and General Counsel of Rockland Trust Company and its parent bank holding company Independent Bank Corp. Ed oversees the Company’s legal, compliance, and enterprise risk management functions, working closely with the Board of Directors’ Risk Committee. Ed also oversees Rockland Trust’s affiliated charitable foundations.

Prior to joining Rockland Trust, Ed was with the Boston law firm of Heller, Levin & Seksay, P.C. from 1991 to 2000 and with the Boston law firm Choate, Hall & Stewart from 1984 to 1991. Ed is a Trustee of the Boston Bar Foundation and was the Founding Chairman of the American Bankers Association Regional Banks General Counsels Group. Ed graduated from Suffolk University Law School, where he was Editor-in-Chief of the Law Review, and the College of the Holy Cross.
DAVID B. SMITH
Senior Vice President, Managing Director, Chief Investment Officer and Senior Portfolio Manager
Mr. Smith has worked in the investment management field since 1990. As the Senior Vice President, Managing Director, Chief Investment Officer and Senior Portfolio Manager, he is responsible for the oversight and direction of the Investment Management Group at Rockland Trust Company. He also is responsible for managing client portfolios for the Investment Management Group. In this capacity, Mr. Smith is involved in performing research and setting investment policy. Prior to joining the IMG, Mr. Smith was a founding partner, Senior Vice President and a Senior Portfolio Manager of Mellon Growth Advisors (MGA), a subsidiary of Mellon Financial Corporation. He was the lead portfolio manager for the firm’s MGA Small Cap Growth, MGA Small/Mid Cap Growth, and MGA Mid Cap Growth strategies. Previously, Mr. Smith was a Principal at State Street Global Advisors (SSgA) where he led the US Small/Mid Cap Growth strategies in its Global Fundamental Strategies group. Prior to this, he was Managing Director of real estate securities at the Tuckerman Group, SSgA’s real estate subsidiary. Mr. Smith holds a B.A. in Economics from the University of Massachusetts/Amherst and a M.S. in Finance from the Sawyer School of Management at Suffolk University. He is a CFA charter holder, a member of the CFA Institute and the Boston Security Analysts Society. Mr. Smith serves on the SSgA Advisory Council and on the MSF Advisory Board for the MSF Program at the Sawyer School of Management at Suffolk University.
DEBRA SMITH
Senior Vice President and Director of Banking and Digital Operations of Rockland Trust Company
As the Director of Banking and Digital Operations at Rockland Trust, Debra Smith oversees the Deposit Operations, Electronic Banking, Loan Operations, Branch Operations, Risk Management, and Digital Operations. In addition, she leads the fraud mitigation efforts for the Company, through technology selections and process refinement to meet the ever-changing fraud landscape. Prior to joining Rockland Trust Deb served as Executive Vice President and BSA (Bank Secrecy Act) Officer for First National Bank of Texas, a $1.5 billion institution headquartered in Killeen Texas. Previously she held various senior leadership roles at Sovereign Bank and Bank Boston. Deb holds an Associate degree in Management from Newbury College in Brookline, MA, and a Bachelor of Science in Business Administration degree from Eastern Nazarene College in Quincy, MA. She resides in Plymouth with her husband and two children.

DONNA L. ABELLI
Chairman
Ms. Abelli is a certified public accountant, a Consulting Chief Financial Officer, and the Director of Administration of Stars, a non-profit early education and youth development organization based in Weymouth, Massachusetts. Ms. Abelli was named Chairman of the Board of Rockland Trust and the Company on March 30, 2012 and has served as a director of Rockland Trust and the Company since 2005. Ms. Abelli has, for part of the last five years, served on an interim basis as the Chief Financial Officer of two publicly-traded companies and various private companies. Ms. Abelli also previously served as the Chief Financial Officer of a publicly-traded company and, from 1998 to 1999, was the President of the Massachusetts Society of CPAs.
MICHAEL P. HOGAN
Mr. Hogan is President and Chief Executive Officer of the A.D. Makepeace Company, the world’s largest cranberry grower and the largest private property owner in eastern Massachusetts. Prior to joining the privately-owned company based in Wareham, Massachusetts, Mr. Hogan was President of MassDevelopment, the Commonwealth’s economic development authority. While at MassDevelopment, he served as cabinet officer for two governors. Mr. Hogan serves on the Ocean Spray Board of Directors and is co-chair of the Commonwealth Housing Task Force, a group dedicated to promoting a consensus housing agenda focused on solving Massachusetts’ housing needs. Previously, he served as Mayor of Marlborough, Massachusetts. Mr. Hogan serves on the Executive Board of the Associated Industries of Massachusetts and is on the board of directors of the Commercial Real Estate Development Organization known as NAIOP.
KEVIN J. JONES
Mr. Jones has, for at least the last five years, been the Treasurer of Plumbers’ Supply Company, a wholesale plumbing supply company, in Fall River, Massachusetts. Mr. Jones has served as a director of Rockland Trust since 1997 and as a director of the Company since 2000. Mr. Jones was previously appointed a director of Middleborough Trust Company in 1990 and served as director of that bank until 1992, when it was merged with and into Rockland Trust.
MARY L. LENTZ
Ms. Lentz has worked for the past 21 years for McCall & Almy, a Boston-based commercial real estate brokerage and advisory services firm. Ms. Lentz currently serves as an Executive Vice President and Partner of McCall & Almy. Ms. Lentz has 35 years of commercial real estate experience, including prior work as Chief Operating Officer of a publicly-traded real estate investment trust. Ms. Lentz specializes in advising healthcare, corporate, and non-profit institutions with real estate leasing, acquisition and disposition strategies.
EILEEN C. MISKELL
Ms. Miskell is a certified public accountant and for at least the last five years has been the Treasurer of The Wood Lumber Company, a lumber company based in Falmouth, Massachusetts. Ms. Miskell has served as a director of Rockland Trust and the Company since 2005. Ms. Miskell was previously appointed a director of Falmouth Bancorp, Inc., the holding company of Falmouth Bank, which was merged with and into the Company in 2004. Ms. Miskell, while a Falmouth Bancorp Director, served as the chair of its audit committee.
JOHN J. MORRISSEY
Mr. Morrissey is a founding partner of the Braintree, Massachusetts law firm Morrissey, Wilson, Zafiropoulos LLP, a boutique law firm practicing in the areas of litigation, bankruptcy and creditors’ rights, and real estate. Mr. Morrissey is a member of the Board of Bar Overseers’ Hearing Committee for Plymouth and Norfolk Counties. He is a member of the Massachusetts Academy of Trial Attorneys’ Board of Governors and the Massachusetts Bar Association’s House of Delegates. Mr. Morrissey was recently appointed Chair of the Massachusetts Bar Association’s Judicial Administration Section Council for 2012-2013.
DANIEL F. O'BRIEN
Mr. O’Brien is a certified public accountant and, for at least the last five years, has been owner and president of O’Brien, Riley and Ryan, a CPA firm located in Westwood, Massachusetts. Mr. O’Brien is also the manager of State Street Wealthcare Advisors, LLC, a financial services company, and State Street Consulting, LLC, a computer services consulting firm. Mr. O’Brien is also a practicing attorney. Mr. O’Brien has served as a director of Rockland Trust and the Company since 2009. Mr. O’Brien previously served as a director and member of the audit committee of Benjamin Franklin Bancorp, Inc. and its wholly-owned subsidiary Benjamin Franklin Bank until April 10, 2009, when Benjamin Franklin Bancorp, Inc. was merged with and into the Company. Mr. O’Brien also previously served as a director of Chart Bank until it was merged with and into Benjamin Franklin Bank, and served as chair of the Chart Bank audit committee.
WILLIAM M. PARENT
Mr. Parent was the President and Chief Executive Officer of Blue Hills Banks, Blue Hills Bancorp, Inc., and its predecessor company since 2010. Prior to that Mr. Parent served as a partner and chief investment officer at Grail Partners, a boutique merchant bank. Mr. Parent has over 30 years of experience in the financial services industry, including 16 years at Bank of Boston and its successor companies, FleetBoston and Bank of America, where he held senior executive roles in Finance, Mergers & Acquisitions, Bank Management, and Private Equity Investing. Mr. Parent is a non-practicing Certified Public Accountant and holds a Bachelor of Science degree from Bentley University. Mr. Parent has served as a member of the Board of Directors for over a dozen middle market companies covering the financial services, retail, and distributions and manufacturing sectors. Mr. Parent currently serves as the Board Chair for the YMCA of Greater Boston and on the Board of Directors for the Boston Police Athletics/Activities League and the New England Council.
DAVID A. POWERS
Mr. Powers worked for decades in the insurance industry, most recently as a Vice President of Burgin Platner & Company LLC in Quincy, Massachusetts. Prior to joining Burgin Platner, Mr. Powers was a partner at the insurance agency known as Charles A. Powers and Sons, LLP in Boston, Massachusetts. Mr. Powers is affiliated with the Rotary Clubs of Hingham and Hull.
SCOTT K. SMITH
Mr. Smith is currently the President and Chief Executive Officer of The SC Group, which he co-founded in 2013. The SC Group provides services to philanthropic organizations throughout New England with respect to strategic planning, program development, board development, Executive Director searches, and fundraising. Mr. Smith has over 26 years of experience in the philanthropic sector and has previously held Chief Executive Officer, Executive Director, and Vice President of Operations positions. Mr. Smith is immediate past Board Chair of the Thomas M. Menino YMCA in Boston, serves on the Lt. Governor's Interagency Council and the Mayor's Commission on Homelessness, and is the Co-Chair of the Hyde Park 150th Anniversary Committee. Mr. Smith is a graduate of Salisbury University.
FREDERICK TAW
Mr. Taw is the owner of the Golden Temple, a well-known neighborhood restaurant in Brookline, Massachusetts. He has a long history of community service and is active in a number of local Asian service organizations, including the South Cove Community Health Center. Mr. Taw has been involved with South Cove since its inception in 1972 and previously served on the organization’s Board of Directors. South Cove is the premier Asian community health center of Massachusetts, serving 30,000 patients a year. Mr. Taw was instrumental in South Cove’s expansion from one small office in Boston’s Chinatown to two campuses in Boston and one in Quincy. Mr. Taw resides in Newton, Massachusetts with his wife Yibei Chen and their daughters Kelly Zhang and Natalie Taw.
BRIAN S. TEDESCHI
Mr. Tedeschi is a retired real estate developer and, for at least the last five years, has been a Director of Tedeschi Food Shops, Inc. Mr. Tedeschi has also been, for part of the last five years, the Chairman of the Board of Tedeschi Realty Corporation, a real estate development company in Rockland, Massachusetts. Mr. Tedeschi has served as a director of Rockland Trust since 1980 and as a director of the Company since 1991.
THOMAS R. VENABLES
Mr. Venables served as the President and CEO and as a director of Benjamin Franklin Bancorp, Inc. and its wholly-owned subsidiary Benjamin Franklin Bank from 2002 until April 10, 2009, when Benjamin Franklin Bancorp, Inc. was merged with and into the Company. Prior to 2002, Mr. Venables co-founded Lighthouse Bank of Waltham, Massachusetts in 1999 and served as its President and CEO and as a director. From 1998 to 1999, Mr. Venables was employed as a banking consultant with Marsh and McLennan Capital, Inc. He was employed by Grove Bank of Newton, Massachusetts from 1974 until it was acquired by Citizens Bank in 1997, serving as its President and CEO and as a director for the last 11 years of his tenure. Mr. Venables currently serves on the Boards of Directors of Ironwood Capital Management, LLC, an investment advisory company, and NeoSaej Corp., a technology company. Mr. Venables also serves as a director and President of the Rockland Trust Charitable Foundation, formerly known as the Benjamin Franklin Bank Charitable Foundation, an entity which is not affiliated with the Company or Rockland Trust. Mr. Venables has served as a director of Rockland Trust and the Company since 2009.
