Item 7.01.Regulation FD Disclosure.

 

On October 25, 2019, The Bancorp, Inc. filed a Form 8-K for its quarterly earnings press release, which referenced a potential exposure related to ACH transactions within a customer’s account at The Bancorp Bank (the “Bank”).  A legal  analysis has been conducted by counsel with related expertise, which concluded that it is unlikely that the Bank has financial liability in connection with the activity in the customer’s account. Upon advice of counsel, the Bank filed an interpleader action in the United States District Court for the District of Delaware on November 4, 2019, which requests that the court determine the equitable distribution of the remaining funds the customer has on account with the Bank.
