Other Events.

On August 1, 2019, Albertsons Companies, Inc. (the "Company") issued a press release announcing the proposed offering by the Company, Albertson’s LLC, Safeway Inc. ("Safeway") and New Albertsons L.P. of senior notes due 2028 (the "Notes") to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and outside the United States in accordance with Regulation S under the Securities Act. On August 1, 2019, the Company issued a separate press release announcing the pricing of its upsized offering of $750 million aggregate principal amount of the Notes. The Company intends to use the net proceeds from the offering, together with the proceeds of a new $1.6 billion term loan tranche and cash on hand, to (i) fund the repayment of approximately $3.2 billion of the Company’s existing term loans (the "Term Loan Repayment") and (ii) pay fees and expenses related to the Term Loan Repayment and the issuance of the Notes. Copies of the press releases are attached as Exhibits 99.1 and 99.2 hereto and are incorporated in this Item 8.01 by reference.

Albertsons Companies, Inc. Announces Proposed
Senior Notes Offering

August 1, 2019 - Boise, ID - Albertsons Companies, Inc. (the “Company”) today announced its intention to offer $500 million in aggregate principal amount of senior notes due 2028 (the “Notes”). The Company and its subsidiaries, Safeway Inc., New Albertsons L.P. and Albertsons’s LLC, will be co-issuers of the Notes.

The Company intends to use the net proceeds from the offering, together with the proceeds of a new $1.7 billion term loan tranche and cash on hand, to (i) fund the repayment of approximately $3.0 billion of the Company’s existing term loans (the “Term Loan Repayment”) and (ii) pay fees and expenses related to the Term Loan Repayment and the issuance of the Notes.

The Notes will be offered in the United States to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside the United States in compliance with Regulation S under the Securities Act. The Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.

This press release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of the Notes in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction.

Albertsons Companies, Inc. Announces Pricing of Its
Senior Notes Offering

August 1, 2019 - Boise, ID - Albertsons Companies, Inc. (the “Company”) today announced the pricing of its upsized private offering of $750 million in aggregate principal amount of new 5.875% senior notes due 2028 (the “Notes”). The Notes will be issued at par value. This represents a $250 million increase in the original offering amount. The Company and its subsidiaries, Safeway Inc., New Albertsons L.P. and Albertson’s LLC, will be co-issuers of the Notes. The offering is expected to close on or about August 15, 2019, subject to customary closing conditions.

The Company intends to use the net proceeds from the offering, together with the proceeds of a new $1.6 billion term loan tranche and cash on hand, to (i) fund the repayment of approximately $3.2 billion of the Company’s existing term loans (the “Term Loan Repayment”) and (ii) pay fees and expenses related to the Term Loan Repayment and the issuance of the Notes.
