Item 7.01 Regulation FD Disclosure.

 

On February 26, 2019, in connection with the previously announced earnings call of Sotherly Hotels Inc., a Maryland corporation (the “Company”), and the sole general partner of Sotherly Hotels LP, a Delaware limited partnership (the “Operating Partnership”), the Company conducted an open question and answer session in which the Company expanded on its dividend policy for 2019.  The Company intends to continue to declare quarterly distributions to its stockholders and unitholders, with a bias to increase the dividend one (1) or two (2) times during 2019.  The amount of future common stock (and Operating Partnership unit) distributions will be based upon quarterly operating results, general economic conditions, requirements for capital improvements, the availability of debt and equity capital, the Internal Revenue Code’s annual distribution requirements and other factors, which the Company’s board of directors deems relevant.  The amount, timing and frequency of any distributions will be determined by the Company’s board of directors and no assurance can be given that our distribution policy will not change in the future.
