Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2018, Robert Legler tendered his resignation from the Board of Directors of National Retail Properties, Inc. (the “Company”), effective immediately. Mr. Legler’s resignation was not in connection with any disagreement with the Company about any matter.

An announcement has been made by the Company that Don DeFosset has been appointed as Chairman of the Company’s Board of Directors.
