Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On September 18, 2018, affiliates of Sotherly Hotels Inc. (the “Company”), the sole general partner of Sotherly Hotels LP, entered into a promissory note and other loan documents to secure a $50.0 million mortgage (the “Mortgage Loan”) on the Hyatt Centric Arlington hotel (the “Hotel”) with MetLife Real Estate Lending LLC.

Pursuant to the loan documents, the Mortgage Loan:

 

has an initial principal balance of $50.0 million;

 

has a term of 10 years;

 

bears a fixed interest rate of 5.25%;

 

amortizes on a 30-year schedule; and

 

following a 5-year lockout, can be prepaid with penalty in years 6-10 and without penalty during the final 4 months of the term.

 

The Company used the proceeds to repay the existing first mortgage on the Hotel, to pay closing costs, and for general corporate purposes.

On September 18, 2018, the Company issued a press release announcing the transactions effected pursuant to the debt financing of the Hotel.  A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated by reference herein.

SOTHERLY HOTELS INC. ANNOUNCES REFINANCING OF ARLINGTON HOTEL

 

Williamsburg, Virginia – September 18, 2018 – Sotherly Hotels Inc. (NASDAQ: SOHO) (the “Company”) announced that it successfully closed a $50.0 million secured loan collateralized by a first mortgage on the Hyatt Centric Arlington hotel in Rosslyn, Virginia.  The loan carries a 10 - year term, a fixed interest rate of 5.25%, and amortizes on a 30 – year schedule. The proceeds from the loan were used to repay the existing first mortgage, to pay closing costs, and for general corporate purposes.
