Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 11, 2018, the Nominating and Corporate Governance Committee of the KeyCorp Board of Directors accepted the resignation of Demos Parneros as a Director. Mr. Parneros tendered his resignation in accordance with KeyCorp’s Corporate Governance Guidelines as a result of a change in his principal employment.
