Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 19, 2018, Linda K. Massman informed the Governance Committee of the Board of Directors that she will resign from the Board of Directors, effective July 1, 2018, so that she can focus more of her time and attention on her duties as President and CEO as well as Director of Clearwater Paper Corporation.
