Item 8.01. Other Events.

On April 6, 2018, in response to an inquiry from Institutional Shareholder Services, Prime Meridian Holding Company (“PMHG”) clarified certain disclosures it made in Item 14 of its Form 10-K for the year ended December 31, 2017.

The fees disclosed as “All other fees” were paid to Hacker, Johnson & Smith, P.A. (“HJS”) exclusively for its services rendered in relation to PMHG’s preparation and filing of its Form 10-Qs and Form 10-K. Similarly, the fees disclosed as “Tax fees” were paid to HJS exclusively for its preparation of PMHG’s state and federal tax returns and assistance with tax questions and research.
