Shareholders of record at the close of business on March 7, 2018 are entitled to vote at the Annual Meeting. Proposals to be voted on at the meeting are listed below, together with the Board of Directors‘ recommendations. The Board of Directors recommends a vote FOR all nominees listed in Proposal 1 and Proposal 2 and FOR Proposals 3 and 4. The proposals are as follows: 1. To elect six Class I Directors to serve until the 2021 annual meeting of shareholders or until their mandatory retirement date, whichever date is earlier: Beverley E. Dalton, Thomas P. Rohman, Thomas G. Snead, Jr., Charles W. Steger, Ronald L Tillett and Keith L. Wampler; 2. To elect one Class II Director to serve until the 2019 annual meeting of shareholders: Patrick E. Corbin; 3. To ratify the appointment of Ernst & Young LLP as the Company‘s independent registered public accounting firm for the year ending December 31, 2018; 4. To approve, on an advisory (non-binding) basis, the Company‘s executive compensation; and 5.
