Item 8.01 Other Events.

On March 1, 2018, WMIH Corp. (the “WMIH”) received written notification from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) that WMIH has regained compliance with Nasdaq Listing Rule 5550(a)(2) as a result of the closing bid price of the WMIH’s common stock, par value $0.00001 per share, being greater than $1.00 per share for ten consecutive business days as of February 28, 2018.

As previously reported, WMIH received written notification on November 14, 2017 from Nasdaq regarding its non-compliance with the minimum bid price requirements set forth in Nasdaq Listing Rule 5550(a)(2). WMIH was afforded 180 calendar days, or until May 14, 2018, to regain compliance with Nasdaq Listing Rule 5550(a)(2). As a result of WMIH regaining compliance with the minimum bid price as of February 28, 2018, Nasdaq has informed WMIH that this matter is now resolved.

SEATTLE – March 1, 2018WMIH Corp.
