Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 7, 2018, the Board of Directors of OneMain Holdings, Inc. determined not to designate Messrs. Bradford D. Borchers, Executive Vice President, Branch Operations, and David P. Hogan, Executive Vice President, Credit and Analytics, as “executive officers” within the meaning of Rule 3b-7 of the Securities Exchange Act of 1934, as amended. Messrs. Borchers and Hogan continue in their current roles.
