Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. 1. Election of Directors: Alan J. Bowers, Cynthia A. Hallenbeck, Michael D. Malone, John Rice, Dana L. Schmaltz, Howard W. Smith, III, William M. Walker, Michael J. Warren Ratification of the appointment of the independent registered public accounting firm. Advisory (non-binding) resolution relating to executive compensation. 2. 3. The Board of Directors recommends a vote FOR the election of the eight nominees as director and FOR Proposals 2 and 3.
