DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-3 (File No. 333-220594) of First Interstate BancSystem, Inc. (the “Registrant”), which was filed with the Securities and Exchange Commission on September 22, 2017 and became effective on October 3, 2017 (the “Registration Statement”). The Registration Statement registered shares of the Registrant's Class A common stock with an aggregate offering price not more than $250,000,000.

In accordance with the Registrant’s undertakings in the Registration Statement, the Registrant hereby deregisters by means of this post-effective amendment any securities remaining unsold under the Registration Statement as of the date hereof and withdraws the Registration Statement.
